The sale represented by this Invoice/Sales Order is subject to the terms and conditions stated herein (the "Terms and Conditions of Sale"). No waiver or amendment to the provisions of the Terms and Conditions of Sale shall be binding on Super Bell Jewelry Company, Inc. ("SBJ") unless approved by SBJ in writing. Your order and acceptance of the merchandise that is the subject of this invoice shall be deemed your acceptance of these Terms and Conditions of Sale.
The diamonds herein invoiced have been purchased from legitimate sources not involved in funding conflict in compliance with United Nations Resolutions. The seller hereby guarantees that these diamonds are conflict free, based on personal knowledge and/or written guarantees provided by the suppliers of these diamonds."
SHIPPING CHARGES
All shipments are F.O.B. Los Angeles at SBJ's principal place of business, located at 606 S. Olive Street,, Suite 2000, Los Angeles, CA 90014. You shall be responsible for all other shipping charges and costs, including insurance and handling charges, which will be added to your invoice unless shipped freight collect.
PAYMENT TERMS
SBJ's payment terms are set forth on the face of this invoice. Interest will be charged at the rate of one and half percent (1.5%) per month on the outstanding balance of any invoice, which has not been paid by the due date.
TAXES
All merchandise sold is for resale only. Shipments within California require a sales tax exemption certificate. You represent and warrant that you are purchasing the merchandise solely for resale and have all required sales tax exemption certificates or similar documents, and you agree to hold SBJ harmless from any claims or liabilities arising from a breach or violation of these representations and warranties.
RETURN POLICY
No merchandise may be returned for any reason without SBJ's prior written approval, and without the receipt of a return merchandise authorization number from SBJ. SBJ will not accept the return of (a) altered, sized or damaged merchandise, or (b) merchandise for a cash refund, or any credit other than a credit against future purchases. All returns shall be delivered or shipped prepaid to SBJ's principal place of business in the original packaging and condition, together with the invoice. Non-returnable items include collectibles, crystal purses, crystal pendants & figurines, etc.; or items that are damaged or abused. A complete return policy is available on our web site (www.sbjonline.com) or by mail upon request.
REPAIR CHARGES
SBJ represents that the merchandise will conform to the descriptions and specifications on this invoice and be free from defects in material and workmanship. Except as provided herein, SBJ makes no warranties, express or implied (including but not limited to, any implied warranties of merchantability or fitness for a particular purpose). If the merchandise does not conform to the above, SBJ will, at its sole election, repair or replace the goods, free of charge for a period up to six (6) months from the date of shipment. All other repairs, sizing and other work will be subject to SBJ's customary charges.
STONE WEIGHTS
All stone and gold weights are approximate.
DIA WEIGHTS
Diamond weights are not exact. Weights are expressed either in decimals or rounded off to a fraction (ex: ¼ ct, ½ ct). Below is the conversion chart for these fractions and the corresponding carat weight ranges that they represent.

LIMITATION OF LIABILITY
In no event shall SBJ be liable for any indirect, special, incidental or consequential damages resulting from SBJ's performance or failure to perform under this sale, or the furnishing, performance or use of any merchandise or service provided pursuant hereto, whether due to a breach of contract, breach of warranty, negligence of SBJ or otherwise. SBJ shall not be liable for any delay in performance directly or indirectly caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labor difficulties, equipment failure, late deliveries by suppliers or other difficulties which are beyond the control of SBJ. Quantities are subject to availability. In the event of production difficulties or product shortages, SBJ may allocate sales and deliveries at its own discretion.
GOVERNING LAW/FORM
The Terms and Conditions of Sale shall be governed by the laws of the State of California, and any action arising out of or relating to this invoice and/ or these terms and conditions shall be brought exclusively in the State courts in the County of Los Angeles, California, or the Federal Court for the Central District of California, if federal jurisdiction exists for the dispute. We both irrevocably waive any objection which either of us may now or hereafter have to the bringing of any such action or proceeding in these courts, including but not limited to any objections based on jurisdiction or venue.
ATTORNEYS' FEES AND COSTS
If SBJ is required to refer this invoice to an attorney to assist in its enforcement following a dispute hereunder and if SBJ prevails in such dispute, SBJ shall be entitled to recover its reasonable attorneys' fees and costs incurred in connection with such dispute.
ORIGIN OF MANUFACTURE
All of SBJ's merchandise is manufactured overseas. |
